Terms of Service about registering our YouTuber Partnership

TERMS & CONDITIONS

By registering with PROMO JAPAN you are entering into a binding agreement in which you agree to the entirety of these Terms & Conditions. These Terms & Conditions may be updated at any time without any notice. Portions of this Agreement can be altered or abolished at the sole discretion of PROMO JAPAN. Reviewing and understanding these terms will be the sole responsibility of the Influencer and any continued use of Our services after such changes will be deemed an agreement to any and all amendments to the Terms & Conditions.

DEFINITIONS

  • PROMO JAPAN, We, Us, Our, and The Company shall refer to PROMO JAPAN, a division of DIRECT Co., Ltd.
  • User, Member, Influencer, and You shall refer to the registrant of this website.
  • Client and Brand shall refer to the Brand or Company wishing to make use of our services to collaborate with the Influencer.
  • Collaboration, Opportunity, Campaign and Work shall refer to any and all brand deals, sponsorships, campaigns, and other collaborations between PROMO JAPAN, the Influencer, and the Client.
  • Works, Content, and Media shall refer to all works, media, content, and materials created by either the Client or the Influencer.

MEMBERSHIP

Membership with PROMO JAPAN does not constitute any form of employment or any other guarantee of work or payment. Registration with PROMO JAPAN is to be seen as an application subject to review by PROMO JAPAN staff and therefore does not constitute a guarantee of membership. All membership registrations must be carried out by the individual for which the Membership account shall represent. For membership registrations applied for on behalf of a legal entity, all registrations must be carried out by an employee or officer holding due authorization. All Membership accounts are non-transferable and access to a membership account by a third party is strictly prohibited. Membership accounts hold no monetary value and any attempt to sell or otherwise transfer said account to a third party will be seen as a violation of this Terms & Conditions. Furthermore, membership with PROMO JAPAN does not imply or otherwise constitute an endorsement of any sort of the views and opinions held or expressed by the Influencer.

SERVICES RENDERED

PROMO JAPAN is an influencer marketing agency dedicated to connecting Influencers with Japanese clients. By becoming a Member of PROMO JAPAN, We agree to showcase influencers with appropriate Clients for potential Collaborations. In this process, the Influencer grants PROMO JAPAN express permission to use their name, likeness, membership information, and past works in marketing materials and on our Website. PROMO JAPAN cannot guarantee that the Influencer will receive any opportunity from the Client(s) as a result of membership with PROMO JAPAN. In the event that a collaboration is agreed to by the Influencer, the Client, and PROMO JAPAN (collectively, the “Parties”), We will act as an intermediary between the Influencer and the Client, providing assistance with any logistical or communication issues that may arise. PROMO JAPAN cannot provide the Influencer with legal counsel nor will we be held liable for any potential disputes that may arise between the Client and the Influencer.

PRODUCTION AND DEVELOPMENT OF CONTENT

In the event that a collaboration has been agreed to by all Parties, the Influencer shall submit all elements of any kind of any and all media created in whole or in part for the collaboration to PROMO JAPAN for final approval PRIOR to release on the internet and other public platforms. PROMO JAPAN agrees to provide for the Influencer key campaign points and objectives on behalf of the Client which the Influencer agrees to include prominently in an honest and earnest manner in their Media created in whole or in part for the collaboration. The Influencer agrees not to portray or showcase the Brand, implicitly or explicitly in a negative or degrading manner. The influencer agrees to create and release the final iteration of content created for the collaboration in a timely manner within the constraints imposed by the Client. Failure to do so may result in a reduction of compensation paid out to the Influencer in exchange for their work.

USE OF CONTENT

  • The Influencer agrees only to use media and materials that they either own or otherwise have express legal permission to use in their work.
  • The Influencer will maintain full legal ownership of any and all intellectual property generated by the influencer in whole or in part for the Client.
  • The Influencer grants the Client and PROMO JAPAN and their respective partners express permission to use any and all content and intellectual property generated in whole or in part for the Collaboration in perpetuity for any and all marketing purposes.
  • The Influencer agrees to remove or otherwise make inaccessible to the public any and all content generated in whole or in part as a result of a Collaboration upon request by the Client or PROMO JAPAN.
  • The influencer is required strictly adhere to their local regulations regarding disclosure of sponsored content.

CONFIDENTIALITY

The Influencer agrees to hold all confidential information in strict confidence unless otherwise authorized in writing by PROMO JAPAN. This means that the influencer may not share or otherwise disclose confidential information to any third parties without the express written consent of PROMO JAPAN. Furthermore, the influencer may not leverage this information for any reason in any way whatsoever outside of the scope of the campaign for which the information is intended. Confidential information shall refer to any information provided to the influencer by the Client or PROMO JAPAN that is not in the public domain.

MARKETING TO CLIENTS

You agree to grant PROMO JAPAN express permission to use your name, brand, image, likeness, and past, present, and future works to market both you and our services to potential clients. Furthermore, you grant PROMO JAPAN permission to use information about you including, but not limited to your analytics, demographics information, and your bio. You understand that these items may be modified from its original form (i.e. rephrasing or translating your bio) to make you more appealing to potential clients. No information will be falsified.

TERMINATION OF MEMBERSHIP

All members may terminate their membership with PROMO JAPAN upon request. Members may not terminate their membership with PROMO JAPAN prior to the conclusion or otherwise agreed upon cancellation of any ongoing collaborations between the member, the Client, and PROMO JAPAN. In the event that you terminate your membership with PROMO JAPAN, you will be removed from our list of active influencers, however, your past work with us may be showcased on our website along with your basic information such as but not limited your name, brand, and provided bio. PROMO JAPAN reserves the right to terminate your membership with us at any time for any reason, including, but not limited to any violation of any part of these Terms & Conditions.

JURISDICTION

The Terms & Conditions and any and all conflicts, disputes, or lawsuits arising from this Agreement shall be governed by the Laws of Japan. Any and all lawsuits or other disputes arising from this Terms & Conditions will have its first hearing under the exclusive jurisdiction of the Tokyo or Fukuoka district court. PROMO JAPAN and Members further agree that any other courts or dispute resolution institutions have no jurisdiction therefore. Both Members and PROMO JAPAN agree to perform the obligations set forth by these Terms & Conditions until all disputes are resolved.
